Dear Aleks! On behalf of the company Sayber-Pro (Ukraine) I inform you about the scope of work that we have done for the planned promotion of Carbon Blacks’ (vendor) products in Ukraine.
We have a ready-made marketing research and a strategy for promoting and developing sales in Ukraine.
We have reached agreements with strategic partners who have declared their interest in distributing such a product through their client networks.
These are: Datagroup, Softprom, Bakotec, Brain and further.
There are also large corporative clients who are ready to test the proposed product. And several large government agencies.
Both categories: our partners and potential customers are waiting for us to test Carbon Black product.
The documentary and legal framework for operation are ready also.
All we need to start selling Carbon Blacks’ products is:

Your company (Ukraine Cybersecurity) should have a signed exclusive contract with Vendor.

The product must be fully adapted to the Ukrainian market. Without the need to refine it.

Our company must have direct contact with all Vendors’ key departments.

Vendor must provide all necessary marketing and technical material.

Vendor must provide our company with a product’s test period (demo version) with full support.

Despite the situations, described below in Item 4 of the Agreement, the Parties agree to treat Proprietary Information confidential and handle it with the same care as its own confidential information
HEREWITH under the confidential information for the purposes of the Treaty specified and understood documented information (document), that is fixed on paper, electronic and other media with the details that point to its confidentiality, as well as any information that was known of the Parties in the execution of the contractual relationship between them, including information which is obtained orally held at the respective negotiations between the authorized representatives of the Parties. Encryption system “RMX” and “RMZ”.Confidential information includes trade secret, the information of professional, business, production and other measures related to Party, the participants (founders), employees of Party, and any other information that is marked "confidential" or at transferring which the Party, transmitting such information, directly indicated on its confidentiality
The Parties shall, directly or indirectly, not disclose and divulge received Proprietary Information to any third party (a legal person, firm, corporation, association, the relevant authority, individual, official, employee, etc.) unless specified in this Agreement.
Without the prior written consent of the disclosing Party this information won’t be used differently than described in the declarative part of the Agreement and in accordance with the current legislation of Ukraine.
Proprietary Information may be disclosed only to those employees (officers) of receiving Party who reasonably and in accordance with relevant documents need access to this information for the purpose for which it was disclosed and are receiving Party to the obligation of confidentiality.
Any disclosure of Proprietary Information to a third party requires the written consent of both parties and under no circumstances take place before the third party the privacy of both parties of the Agreement.
